Upon execution of this Agreement and payment to PARTNERS User Group of the participation fee set forth herein, the Participating Company shall be entitled to participate as an exhibitor in the 2003 Annual Teradata PARTNERS User Group Conference & Expo, which will take place on September 22-September 24, 2003 ("Event Date"), at Washington State Convention & Trade Center in Seattle, Washington ("Event Site"). The PARTNERS User Group agrees to supply the Participating Company with demonstration space at the 2003 Annual Teradata PARTNERS User Group Conference & Expo in substantially the form specified.

Section IV. Contract Terms

A. Rules and Regulations. Participating Company agrees to abide by all rules and regulations and to comply with all conditions set forth by NCR Corporation in conjunction with the PARTNERS User Group and the Washington State Convention & Trade Center for this event. Cancellation and refund requests by Participating Company must be submitted in writing to Teradata PARTNERS Exhibit Management between April 1 and June 6, 2003. All refunds will be less $2000 USD. No refund requests will be honored after June 6, 2003.
B. Limitation of Liability. NCR Corporation's and the PARTNERS User Group's entire liability to Participating Company arising out of, or related to, this agreement shall be limited to the participation fee paid hereunder.
C. Indemnification. Participating Company agrees to indemnify and hold harmless the PARTNERS User Group and NCR Corporation, its directors, officers, employees, and agents from and against all claims, losses, expenses, liabilities, and damages arising out of, or related to, any breach of this Agreement by Participating Company or the negligence, gross negligence, or willful misconduct of Participating Company, its employees, agents, or representatives in performing this agreement or otherwise in connection with the 2003 Annual Teradata PARTNERS User Group Conference & Expo.
D. Insurance. Participating Company agrees to maintain Comprehensive General Liability insurance covering Participating Company's participation in 2003 Annual Teradata PARTNERS User Group Conference & Expo. Coverage shall include personal property damage and bodily injury coverage, with limits of at least $1,000,000 for each occurrence. Upon request, Participating Company shall furnish proof of insurance.
